General Terms and Conditions
1) Scope
These General Terms and Conditions (GTC) apply to all offers, contracts, and services between
neurobots

and the commercial customer (“Customer”) named in the respective offer.
These GTC apply exclusively to business customers (B2B). Deviating terms of the customer shall not become part of the contract unless neurobots expressly agrees to their validity in writing.
2) Conclusion of Contract
A contract is concluded through individual offer approval and written confirmation, either manually or via an online service system. Offers are non-binding. The order becomes binding upon confirmation of the offer by the customer.
3) Description of Services
neurobots provides services in the field of implementing AI-based assistants for sales, customer service, or appointment booking.
This does not constitute the sale of software licenses or a SaaS model.
The service includes the individual setup and provision of a digital assistant according to the specifications agreed upon in the offer.
4) Prices and Payment Terms
Prices are determined individually in the offer.
Payment is made in advance upon invoicing via Lexware.
The payment term is 7 calendar days unless otherwise agreed.
5) Withdrawal and Revocation
Since the services are individually tailored and provided immediately after acceptance of the contract, withdrawal or revocation is excluded once configuration has begun.
Withdrawal is only possible if no service has been provided or technical implementation has taken place.
According to § 356 (4) BGB, the right of withdrawal expires for fully rendered services.
6) Warranty and Guarantees
No guarantee is given for the success or a specific performance of the bot.
The service is provided according to the current state of the art.
Statutory defect rights from service contracts (§ 634 BGB) remain unaffected.
7) Retention of Title
No retention of title applies.
All rights remain with neurobots until full payment of the agreed service.
8) Jurisdiction and Applicable Law
The law of the Federal Republic of Germany shall apply exclusively, excluding the UN Convention on Contracts for the International Sale of Goods.
The place of jurisdiction for all disputes is – insofar as legally permissible – Nuremberg, Germany.
9) Data Protection
The provisions of the GDPR apply. No tracking tools such as Google Analytics are used.
Data entered via contact forms (name, email, phone number, company, subject) will be used to process the inquiry and may be transferred to Odoo CRM if necessary.
10) Hosting
The website is hosted by:
Hetzner Online GmbH, Data Center Park FSN1, Falkenstein, Germany.
Data processing is carried out in accordance with European data protection and security standards.
